Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PoSTMEDIA, Inc. ("ArtSpace," "we," "us," or "our"), governing your access to and use of the ArtSpace platform, including our website, web applications, APIs, and all related services (collectively, the "Services"). By creating an account, accessing, or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

Beta Testing Period Notice

ArtSpace is currently in a beta testing phase. During this period, the platform may undergo significant changes, including updates to features, infrastructure, and data storage systems. As a result, any content uploaded to the platform—including but not limited to 3D models, images, exhibition configurations, and associated metadata—may be deleted or reset without prior notice. We strongly recommend that you maintain local backups of all content you upload. We shall not be liable for any loss of data during this testing period.

1. Eligibility and Account Registration

1.1 Age Requirement. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater, to create an account and use the Services. By using the Services, you represent and warrant that you meet this age requirement.

1.2 Account Creation. To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information, including a valid email address, a username, and any other information requested during the registration process. You may also register through supported third-party authentication providers (e.g., Google, GitHub). Regardless of the registration method, you are responsible for maintaining the accuracy of your account information.

1.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify us at dev.postmedia@gmail.com of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

1.4 One Account Per Person. Each individual may maintain only one account. Creating multiple accounts for the purpose of evading restrictions, manipulating engagement metrics, or circumventing enforcement actions is strictly prohibited and may result in the termination of all associated accounts.

1.5 Organizational Accounts. Organizations, galleries, institutions, and other entities may create organizational accounts. The individual who creates an organizational account represents and warrants that they have the authority to bind the organization to these Terms. The organization is responsible for all activities conducted through its account and by its authorized members.

2. Platform Content and Intellectual Property

2.1 Ownership of Platform. The Services, including all software, code, design, text, graphics, logos, icons, images, audio, video, the overall look and feel of the platform, and all underlying technology, are owned by or licensed to PoSTMEDIA, Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the Republic of Korea and international treaties.

2.2 Limited License to Use. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purposes. This license does not include the right to modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any platform content, except as permitted by the functionality of the Services.

2.3 Trademarks. "ArtSpace," "PoSTMEDIA," and all related names, logos, product and service names, designs, and slogans are trademarks of PoSTMEDIA, Inc. or its affiliates. You must not use such marks without the prior written permission of PoSTMEDIA, Inc.

2.4 Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner and without any obligation or compensation to you.

3. User Content

3.1 Definition. "User Content" means any and all content that you upload, submit, post, display, or otherwise make available through the Services, including but not limited to 3D models, images, photographs, videos, audio files, text, descriptions, metadata, exhibition configurations, and any other materials.

3.2 Ownership. You retain all ownership rights in your User Content. Nothing in these Terms transfers ownership of your User Content to us. You are solely responsible for your User Content and the consequences of posting or publishing it.

3.3 License Grant to ArtSpace. By uploading or otherwise submitting User Content to the Services, you grant PoSTMEDIA, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content, in whole or in part, in connection with the operation, promotion, and improvement of the Services. This includes the right to display your content in search results, recommendations, social media previews, promotional materials, and platform-generated thumbnails. This license continues for as long as your User Content remains on the Services and for a commercially reasonable period after deletion (to account for backup and caching systems), after which it will be deleted in accordance with our data retention practices.

3.4 License Grant to Other Users. When you make User Content publicly available on the Services, you grant other users a non-exclusive, royalty-free license to view and interact with your content through the normal functionality of the Services (e.g., viewing 3D spaces, leaving comments, liking). This license does not grant other users the right to download, copy, redistribute, or create derivative works of your content.

3.5 Representations and Warranties. You represent and warrant that: (a) you own or have the necessary rights, licenses, consents, and permissions to use and authorize the use of your User Content as described herein; (b) your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or any applicable law or regulation; (c) your User Content does not contain any viruses, malware, or other harmful code; and (d) your User Content is not false, misleading, or deceptive.

3.6 Content Removal. You may delete your User Content at any time through the Services. Upon deletion, we will use commercially reasonable efforts to remove your content from the Services, though cached or archived copies may persist for a limited period. We reserve the right to retain certain metadata (such as file size and upload date) for internal analytics purposes even after content deletion.

4. Acceptable Use Policy

4.1 Prohibited Content. You agree not to upload, post, or transmit any User Content that: (a) is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (b) contains sexually explicit material involving minors; (c) promotes discrimination, hatred, or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic; (d) infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party; (e) contains malicious software, viruses, or code designed to disrupt or damage the Services; or (f) constitutes unsolicited advertising, spam, or promotional material.

4.2 Prohibited Conduct. You agree not to: (a) use the Services for any illegal purpose or in violation of any applicable law; (b) access or attempt to access another user's account without authorization; (c) interfere with or disrupt the integrity or performance of the Services, including through denial-of-service attacks or similar methods; (d) attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Services; (e) use any automated means, including bots, crawlers, scrapers, or spiders, to access the Services or collect data without our prior written consent; (f) circumvent, disable, or otherwise interfere with security-related features of the Services; (g) manipulate engagement metrics such as view counts, likes, or comments through automated or deceptive means; (h) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or (i) use the Services to collect, store, or process personal information of other users without their explicit consent.

4.3 Fair Use of Resources. You agree to use the Services within reasonable usage limits. We reserve the right to impose bandwidth, storage, or API rate limits to ensure fair access for all users. Excessive use that degrades the experience of other users may result in temporary or permanent restrictions on your account.

4.4 Reporting Violations. If you become aware of any content or conduct that violates these Terms, we encourage you to report it through the reporting mechanisms provided within the Services or by contacting us at dev.postmedia@gmail.com.

5. Content Moderation

5.1 Right to Moderate. We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to violations of these Terms, applicable laws, or our community guidelines. We may also restrict or disable access to any User Content without prior notice.

5.2 Content Visibility. We may use automated systems and human review to determine the visibility and distribution of User Content. Content that violates our guidelines may be removed, demoted in search results or recommendations, or restricted in visibility.

5.3 Appeals. If your content is removed or your account is restricted, you may submit an appeal by contacting us at dev.postmedia@gmail.com. We will review appeals in a timely manner, but the final decision regarding content moderation rests with us.

6. Intellectual Property Claims

6.1 Respect for IP Rights. We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law.

6.2 Filing a Complaint. If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please provide us with the following information: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and its location on the Services; (d) your contact information, including address, telephone number, and email; (e) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

6.3 Counter-Notification. If you believe that your content was removed or disabled by mistake or misidentification, you may submit a counter-notification containing: (a) your physical or electronic signature; (b) identification of the content that was removed; (c) a statement under penalty of perjury that you have a good faith belief that the content was removed as a result of mistake or misidentification; and (d) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the courts of Seoul, Republic of Korea.

6.4 Repeat Infringers. We may, in appropriate circumstances, terminate the accounts of users who are repeat infringers.

7. Artificial Intelligence and Machine Learning

7.1 AI Opt-Out. Users may indicate in their content description that they opt out of their work being used for generative AI or machine learning training purposes. When a user clearly states such intent (e.g., including "NoAI" in the description), that content must not be scraped, downloaded, indexed, or otherwise used for the purpose of training AI or machine learning models by any party, including ArtSpace.

7.2 AI-Generated Content. Users who upload content that was generated in whole or in substantial part by artificial intelligence tools must clearly indicate this in the content description (e.g., "Created with AI" or "AI-generated"). Failure to properly disclose AI-generated content may result in content removal or account restrictions. This requirement applies to images, 3D models, and any other media produced by generative AI systems.

7.3 Scraping Prohibition. You may not use any automated tools, scripts, or third-party services to scrape, crawl, or systematically download content from the Services for the purpose of building datasets, training machine learning models, or any other purpose not explicitly authorized by these Terms or by the respective content creator.

7.4 Platform Use of AI. We may use AI and machine learning technologies to improve the Services, including content recommendations, search relevance, content moderation, and spam detection. Such use will be governed by our Privacy Policy.

8. Third-Party Services and Links

8.1 Third-Party Services. The Services may contain links to, or integrations with, third-party websites, services, or applications that are not owned or controlled by us. This includes, but is not limited to, authentication providers, cloud storage services, analytics tools, and social media platforms.

8.2 No Responsibility. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions. We encourage you to review the terms and privacy policies of any third-party services you access through the Services.

8.3 Linking to Content. Users may share links to their ArtSpace spaces or content on external websites and social media platforms. When sharing, you must not misrepresent the source of the content or remove any attribution to the original creator.

9. Disclaimer of Warranties

9.1 "As Is" Basis. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

9.2 No Guarantee. We do not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Services will be accurate or reliable; (c) the quality of any content, information, or other material obtained through the Services will meet your expectations; or (d) any errors in the Services will be corrected.

9.3 User Content Disclaimer. We do not endorse, verify, or guarantee the accuracy, completeness, or authenticity of any User Content. You acknowledge that any reliance on User Content is at your own risk.

10. Limitation of Liability

10.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POSTMEDIA, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

10.2 Liability Cap. Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of one hundred US dollars (USD $100) or the amount you have paid us in the twelve (12) months preceding the claim.

10.3 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless PoSTMEDIA, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party, including any intellectual property rights; or (e) your violation of any applicable law, rule, or regulation.

12. Modification and Termination

12.1 Changes to Services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that materially affect your use of the Services.

12.2 Termination by You. You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Services will immediately cease. You may request deletion of your User Content prior to account termination.

12.3 Termination by Us. We may suspend or terminate your account, or restrict your access to all or part of the Services, at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to: (a) violation of these Terms; (b) prolonged inactivity; (c) requests by law enforcement; (d) unexpected technical or security issues; or (e) discontinuation of the Services.

12.4 Effect of Termination. Upon termination, your license to use the Services will immediately terminate. Sections of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, and limitations of liability) shall survive.

13. Governing Law and Dispute Resolution

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

13.2 Jurisdiction. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13.3 Informal Resolution. Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at dev.postmedia@gmail.com. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal action.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Services and updating the "Last Updated" date at the top of this page. For significant changes, we may also provide additional notice through email or an in-app notification. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

15. General Provisions

15.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and PoSTMEDIA, Inc. regarding the Services and supersede all prior agreements and understandings, whether written or oral.

15.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

15.4 Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, labor disputes, government actions, internet or infrastructure failures, or power outages.

15.6 Electronic Communications. By using the Services, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
